Auri — AI Executive Assistant
1.Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Auri (“Company,” “we,” “us,” or “our”) governing your access to and use of the Auri desktop application and related services (collectively, the “Service”). By downloading, installing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2.Description of Service
Auri is a macOS desktop application that functions as an AI Executive Command Center. The Service provides:
Email Management
Reading, composing, sending, organizing, and analyzing authorized Gmail and Outlook mail.
Calendar Management
Viewing, creating, modifying, and deleting authorized Google and Microsoft calendar events.
Documents & Files
Working with authorized Google, Notion, Microsoft, and user-selected local content.
Contact Management
Searching contacts via Google People API and Apple Contacts.
Messaging Integration
Reading and searching Slack, and posting, reacting, or marking items read when requested.
Tasks & Projects
Creating, synchronizing, and managing Auri tasks, Asana, Microsoft To Do, and Apple Reminders.
Meetings
Optional recording, transcription, summaries, decisions, commitments, and follow-up extraction.
AI Assistance
Optional OpenAI-backed summaries, drafting, briefings, meeting intelligence, reasoning, and transcription, subject to settings and approval controls.
Travel Intelligence
Flight tracking, visa requirements, and travel advisory information.
News Briefings
Curated news summaries based on interests from calendar and email.
Two-Way SMS
Optional briefings, email and task notices, task capture, replies, and assistant commands by text.
Email Analytics
Tracking open rates, response times, and communication patterns.
Multi-Executive
Managing calendars, emails, and profiles for multiple executives.
Collaboration
Sharing calendar availability, tasks, and projects with specific invited Auri users.
SMS Alerts
SMS is optional. By entering your mobile phone number and turning on SMS in Auri Settings, you agree to receive recurring Auri texts such as briefings, email or draft notices, task reminders, and assistant action updates. You may reply with questions or commands, create or review tasks, and continue a recent Auri conversation.
Inbound texts may cause Auri to retrieve relevant connected-service context or prepare an action. Auri may require confirmation before consequential actions, but you remain responsible for reviewing replies, approvals, and resulting changes.
Message frequency varies. Message and data rates may apply. You can turn SMS off in Auri Settings or reply STOP to opt out. Reply HELP for help. Consent to SMS is not a condition of purchase or use of the Service.
You are responsible for controlling the enrolled phone number and device. SMS may appear on lock screens, shared devices, carrier systems, or backups, so do not send sensitive information through SMS unless those risks are acceptable to you.
3.Eligibility
You must be at least 18 years of age and capable of forming a binding contract to use the Service. The Service is intended for professional and business use. By using the Service, you represent that you meet these requirements.
4.Account Registration and Security
4.1 Account Creation
To use the Service, you must create an account via Firebase Authentication using Google Sign-In, Microsoft Sign-In, or email-based sign-in. You agree to provide accurate, current, and complete information during registration.
4.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.
4.3 Executive Profiles
You may create profiles for executives you support. You represent and warrant that you have obtained all necessary authorizations from each executive before creating their profile and connecting their accounts.
5.Third-Party Service Integrations
5.1 OAuth Authorization
The Service integrates with third-party platforms via OAuth 2.0. By connecting your accounts, you authorize us to access and interact with those services within the scope of permissions you grant:
Google Workspace
- Gmail: Read, send, modify, and organize emails
- Calendar: Read, create, modify, and delete events; check availability
- Drive: Read file metadata and content
- Docs: Read and append document content
- Sheets: Read and write spreadsheet data
- People API: Search contacts and retrieve profile information
Microsoft 365
- Access and manage authorized Outlook mail and calendars
- Read contacts and files and manage Microsoft To Do tasks within granted permissions
Slack
- Read and search accessible conversations, replies, profiles, and presence
- Post messages, manage reactions, mark conversations read, and open direct messages when requested
Notion
- Search and read authorized pages, databases, blocks, properties, and comments
- Create, update, append to, comment on, or archive content when requested
Asana
- Read authorized workspaces, projects, sections, tasks, assignees, tags, dates, notes, and status
- Create, update, link, and synchronize tasks when requested or enabled
Apple Contacts and Reminders
- Access contacts and reminders through macOS permissions and local frameworks
- Create or update reminders when requested
Twilio
- Deliver and receive optional Auri SMS messages
- Process phone numbers, consent, message content, identifiers, and delivery status as needed for SMS
5.2 Token Management
OAuth tokens may be stored in macOS Keychain and/or in access-controlled server-side integration records to support hosted connections and multi-device or cloud workflows. Providers apply encryption at rest, and selected server-side Google refresh-token paths use additional application-layer encryption. You may revoke authorization through the applicable platform or disconnect the integration in Auri.
5.3 Third-Party Terms
Your use of third-party integrations and external AI providers is also subject to the terms and privacy policies of those platforms. In the event of a conflict, the applicable third-party's terms shall govern with respect to that service.
6.External AI Features
6.1 OpenAI-Backed Workflow
Auri includes optional OpenAI-backed features for chat assistance, summaries, drafting, briefings, meeting intelligence, reasoning, web-search-assisted answers, and transcription. When these features are enabled and used, Auri may send relevant prompts, workspace or meeting context, and uploaded audio to OpenAI either directly or through an Auri-managed relay endpoint, depending on configuration.
6.2 User Controls and Approvals
You can enable or disable external AI globally and by supported feature area. Sensitive email context can be separately restricted. Auri does not send email without your approval and does not make calendar or other consequential changes except in accordance with the confirmation and approval settings applicable to that workflow.
6.3 Third-Party AI Terms and Retention
OpenAI and any other infrastructure providers involved in external AI processing handle request data under their own terms and policies. OpenAI states that its API data is not used to train OpenAI models by default unless the customer explicitly opts in, and that API retention rules may still apply. More detail is available in our Privacy Policy.
6.4 AI-Generated Content
AI-generated responses, email drafts, meeting analyses, and other outputs are provided for informational and assistive purposes only. You are solely responsible for reviewing, editing, and approving all AI-generated content before use. We do not guarantee accuracy, completeness, or appropriateness.
7.Email Tracking and Read Receipts
7.1 Tracking Functionality
The Service includes email open tracking via embedded tracking pixels (1x1 transparent images). When enabled, the Service records when a recipient opens a tracked email.
7.2 User Control
Read receipt tracking is enabled by default but can be disabled globally or on a per-email basis. You are responsible for ensuring your use of email tracking complies with all applicable laws.
7.3 Compliance Responsibility
You acknowledge and agree that you are solely responsible for complying with all applicable laws and regulations governing email tracking in your jurisdiction and the recipient's jurisdiction, including obtaining any required consents.
8.Collaboration and Meeting Features
8.1 Calendar Sharing
When you connect with another Auri user, relevant calendar data, availability, executive names, connection state, and collaboration messages may be shared between the connected accounts through our cloud infrastructure.
8.2 Task and Project Sharing
You may invite another Auri user to a project or standalone task as a viewer or editor. Accepted collaborators can access the shared resource and may change it according to their role. Revocation ends future access through Auri but cannot retrieve copies another participant previously exported or independently retained.
8.3 Meeting Recording and Transcription
Auri can capture microphone or system audio and create transcripts, summaries, decisions, commitments, and follow-up items. You are solely responsible for providing all required notices and obtaining all required permissions or consent from participants before recording, transcribing, analyzing, or sharing a meeting. Recording laws vary by jurisdiction.
You must review transcripts and AI-generated meeting outputs before relying on or distributing them. You are also responsible for selecting a processing and retention mode appropriate for the meeting's sensitivity and your organization's requirements.
8.4 Authorization
You represent and warrant that you have authority to connect each executive, share their calendar information, invite recipients to shared work, disclose task or project content, and process meeting content through the Service.

10.Intellectual Property
10.1 Ownership
The Service, including all software, design, text, graphics, and other content, is owned by or licensed to Auri and is protected by copyright, trademark, and other intellectual property laws.
10.2 License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes.
10.3 Your Data
You retain all ownership rights in the data you input into or generate through the Service. By using the Service, you grant us a limited license to process, store, and transmit your data solely as necessary to provide and improve the Service.
11.Data Storage and Security
11.1 Local Storage
The Service stores certain data locally on your device, including supported OAuth tokens in macOS Keychain, cached workspace data, writing style profiles, email analytics, preferences, task state, meeting transcripts, and meeting audio retained under the profile you select.
11.2 Cloud Storage
Certain data is stored or processed in our cloud infrastructure, including account and executive profiles, entitlements, hosted integration credentials and metadata, calendar sync and collaboration, task and project data, invitations and roles, email tracking, SMS messages and delivery data, and selected drafts, snippets, summaries, briefings, indexes, approvals, actions, receipts, and errors used by cloud workflows.
11.3 External AI Processing
When you use OpenAI-backed features, relevant request content may be transmitted to OpenAI or an Auri-managed relay endpoint to provide that feature. We do not sell that data, and we do not use it to train Auri's own models.
11.4 Security Measures
We use measures including HTTPS/TLS, macOS Keychain where supported, application sandboxing, provider access controls and encryption at rest, scoped integration records, and PKCE for supported hosted OAuth flows. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.
12.Disclaimers
12.1 “As Is” Basis
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
12.2 No Guarantee of Accuracy
We do not warrant that AI-generated content, transcripts, meeting analyses, task extraction, action routing, email analytics, travel information, flight data, visa requirements, travel advisories, or news summaries will be accurate, complete, current, or error-free.
12.3 Third-Party Services
We are not responsible for the availability, accuracy, or reliability of third-party services. Service functionality may be limited if third-party services experience downtime or changes.
12.4 AI Limitations
External AI models may produce inaccurate, incomplete, or inappropriate responses. The Service may include heuristics or safety checks, but those are not infallible. You must review all AI-generated content before acting on it.
13.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AURI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
14.Indemnification
14.1 User Indemnification
You agree to indemnify, defend, and hold harmless Auri and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law; (d) your violation of any third party's rights; or (e) any data you submit, store, or transmit through the Service.
14.2 Company Indemnification
Auri agrees to indemnify, defend, and hold harmless you and, where applicable, your organization and its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of: (a) Auri's gross negligence or willful misconduct in connection with the Service; (b) Auri's material breach of these Terms; (c) Auri's infringement of any third-party intellectual property right; or (d) Auri's violation of applicable law. This indemnification does not apply to the extent that a claim arises from your actions, your violation of these Terms, or your use of the Service in a manner not authorized herein.
15.Termination
15.1 By You
You may terminate your use of the Service at any time. You should also disconnect integrations, leave or revoke shared work, delete local recordings or data as appropriate, uninstall the application, and revoke OAuth authorizations through the respective third-party platforms.
15.2 By Us
We may suspend or terminate your access at any time, with or without cause, with or without notice. Grounds include violation of these Terms, abuse of the Service, or legal requirements.
15.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Locally stored data remains until you delete it. Cloud data may be retained per our Privacy Policy. Sections 10, 12, 13, 14, and 16–19 survive termination.
16.Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated through the Service or via email. Your continued use after modifications constitutes acceptance. If you do not agree, you must discontinue use.
17.Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of California, without regard to conflict of laws principles. Disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted in San Francisco, California. Each party shall bear its own costs, and the arbitrator's decision shall be final and binding.
18.General Provisions
Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Auri regarding the Service.
Severability
If any provision is held unenforceable, the remaining provisions remain in full force and effect.
Waiver
Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.
Assignment
You may not assign these Terms without our consent. We may assign without restriction.
Force Majeure
We shall not be liable for failure or delay due to circumstances beyond our reasonable control.
